1. INTRODUCTION: -

   These terms and conditions (“Terms”) govern the access to and use of the online B2B marketplace platform operated by Aajjo Business Solutions Private Limited, a company incorporated under the laws of India, having its registered office at Ground Floor, GA-23 to GA-26, Metro Walk, Rohini Sector 10, North West Delhi, Delhi, 110085.

   By accessing, registering, or using the platform in any manner, each user agrees to be bound by these Terms & Conditions, as amended time to time.

2. DEFINED TERMS: -
   1. “BUYER”: Any business entity or person acting on behalf of a business that uses the Platform to search, inquire about, or purchase goods/services from Sellers.
   2. “SELLER”: Any business entity or person acting on behalf of a business that lists, markets, promotes, or offers goods/services on the Platform to Buyers
   3. “USER”: Collectively refers to any Buyer, Seller, or visitor accessing or using the Platform in any manner.
   4. “SERVICES”: All services provided by your company through the Platform, including listing, lead generation, advertising, subscription packages, and related support.
   5. “CONTENT”: All data and material (text, images, videos, logos, catalogues, specifications, pricing, comments, messages) uploaded or made available on the Platform by any User or by the Company.
   6. “PLATFORM” / “SITE”: The website, mobile application, and any related domains or sub-domains operated by Aajjo Business Solutions Private Limited. for providing the Services.
   7. “ACCOUNT”: The registered profile created by a User on the Platform through which Services are accessed and used
   8. “REGISTRATION DATA”: The database of information submitted by the User at the time of registration or later updates (business name, contact person, email, phone, GST details, etc.).
   9. “ILLEGAL/PROHIBITED CONTENT”: Any Content that is unlawful, infringes third‑party rights, violates applicable regulations, or is explicitly declared prohibited under the Platform’s policies.
3. ELIGIBILITY & USER REGISTRATION
   1. BUSINESS USE AND CAPACITY

      Use of the Platform is strictly limited to persons who are competent to contract within the meaning of the Indian Contract Act, 1872 and who access or use the Platform on behalf of a business, trade, profession, or industry etc.

      By registering an account, the User represents that it is duly authorized to bind the relevant business entity to these Terms.

   2. ACCOUNT CREATION AND INFORMATION

      To access certain features of the Platform, Users must create an account by providing accurate, current, and complete information, including (as applicable) legal entity name, business registration details, tax/GST details, nature of business, registered address, and details of an authorized contact person, together with valid contact information.

   3. Verification Documents:

      The Company may, at its discretion, request supporting documents or information (such as business registration certificates, GST certificate, PAN, address proof, or other KYC documents) to verify the User’s identity and business status before or after activation of the account.

   4. ONGOING OBLIGATIONS OF USERS
      • Maintain and promptly update their registration and KYC data to keep it accurate, current, and complete at all times.
      • Keep their login credentials secure and confidential, not share them with any third party, and remain solely responsible for all activities that occur under their account, whether authorized or unauthorized.
      • If a User becomes aware of any unauthorized use of its account or any breach of security, it shall immediately notify the Company through the designated contact channels or by registered email.
   5. RIGHT TO VERIFY, REFUSE, OR REVOKE REGISTRATION
      • The Company is entitled, but not obliged, to carry out verification or due‑diligence checks (including KYC / business verification) on the User, its authorized representatives, and its submitted information or documents, either directly or through third‑party service providers, subject to applicable law.
      • The Company reserves the right, in its sole discretion, to accept or reject any request for registration, to impose conditions on activation or continued use, or to refuse to create an account for any User, without being required to provide any reason, to the extent permitted by applicable law.
      • The Company also reserves the right to suspend, restrict, or terminate any account, or downgrade access, if any information or document provided is found or reasonably suspected to be inaccurate, incomplete, misleading, fraudulent, or not capable of verification, or if the User is found to be in violation of these Terms or any applicable law or policy.
4. RELATIONSHIP BETWEEN USER AND COMPANY
   1. INDEPENDENT BUSINESS RELATIONSHIP

      The parties agree that the relationship between the User and the Company is strictly that of an independent business using an online B2B marketplace platform for listing, discovery, and communication purposes. Nothing in these Terms, the User’s registration, or use of the Platform shall be construed to create any partnership, joint venture, association, agency, franchise, employment, or fiduciary relationship between the User and the Company.

   2. NO AUTHORITY TO BIND COMPANY

      The User has no authority, actual or apparent, to make or accept any offers, give any warranties or guarantees, incur any obligations, or make any representations on behalf of the Company, or to bind the Company in any manner whatsoever.

      The User shall not hold itself out as having such authority, nor shall it make any statements or take any actions that could reasonably cause third parties to believe that the User is an agent, employee, partner, or representative of the Company.

   3. PLATFORM AS INTERMEDIARY ONLY
      • The Company operates solely as an online intermediary facilitating the listing of business products/services and communication between independent commercial entities.
      • The Company does not:
        • Manufacture, supply, or sell any products or services listed by Users.
        • Guarantee the quality, quantity, delivery, performance, or any other aspect of products/services listed or inquired about on the Platform.
        • Act as an agent, broker, or intermediary in any contract between Users.
      • That the company does not collect, receive payment & payment details etc. for any purposes.

      All contracts, quotations, purchase orders, supply agreements, or other commercial arrangements between Users (whether between Buyers and Sellers or otherwise) are formed directly between those parties and are governed solely by the terms agreed between them, independent of these Terms.

   4. NO EXCLUSIVITY OR BUSINESS GUARANTEES

      The User is free to use competing platforms or other marketing channels concurrently, and the Company provides no guarantee of any minimum volume of leads, inquiries, transactions, or revenue generation through the Platform.

      Users are solely responsible for conducting their own commercial due diligence before entering into any business relationships facilitated through the Platform.

   5. COMPLIANCE WITH COMMERCIAL LAWS

      Each User remains fully responsible for compliance with all applicable commercial laws, including the Indian Contract Act, 1872, Sale of Goods Act, 1930, Competition Act, 2002, GST laws, and industry‑specific regulations governing their business activities and products/services listed on the Platform.

5. USER OBLIGATIONS
   1. LEGITIMATE USE ONLY

      Users agree to use the Platform solely for legitimate business-to-business (B2B) purposes and in full compliance with all applicable laws, including but not limited to the Information Technology Act, 2000, Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, Indian Contract Act, 1872, and relevant GST and consumer protection regulations.

   2. PROHIBITED CONDUCT
      • Post, upload, transmit, or make available any unlawful, defamatory, obscene, pornographic, infringing, misleading, fraudulent, or otherwise objectionable Content, including fake product listings, counterfeit goods, or banned/restricted items.
      • Misrepresent their identity, business credentials, product specifications, pricing, availability, certifications, or affiliations, including by using forged, altered, or unverified business documentation, GST numbers, or quality certifications.
      • Engage in spamming, phishing, automated data scraping, unauthorized harvesting of contact information, or any form of unsolicited commercial communication through the Platform.
      • Upload, transmit, or distribute any viruses, malware, Trojan horses, worms, or other harmful code that may disrupt, damage, or interfere with the Platform’s operations or other Users’ computers.
      • Use the Platform to promote competing online marketplaces, solicit Users to alternative platforms, or engage in activities that violate fair competition norms or anti-competitive practices under the Competition Act, 2002.
      • Post listings for products/services that violate intellectual property rights, including unauthorized use of trademarks, copyrights, patents, or designs belonging to third parties.
      • Create multiple accounts, use fake identities, or engage in account takeover attempts to manipulate leads, ratings, reviews, or search rankings.
      • Use any automated systems, bots, or scripts to artificially inflate inquiries, views, or engagement metrics on listings.
      • Harass, abuse, or discriminate against other Users based on region, religion, caste, gender, or any protected characteristic.
      • Attempt to reverse engineer, decompile, disassemble, or circumvent any security measures or technical protections of the Platform.
   3. COMMERCIAL CONDUCT PROHIBITIONS
      • List products/services that are illegal to manufacture, import, export, sell, or distribute under Indian law or the laws of the User’s jurisdiction.
      • Make false claims about product quality, certifications (ISO, FSSAI, BIS, etc.), environmental compliance, or regulatory approvals.
      • Use the Platform to facilitate money laundering, terrorist financing, or any activities prohibited under the Prevention of Money Laundering Act, 2002 (PMLA).
      • Engage in bid rigging, price fixing, or other collusive practices with other Users through Platform communications.
   4. COMPANY’S ENFORCEMENT RIGHTS
      • Remove, hide, or disable access to any Content, listing, or User profile that appears to violate these Terms, Platform policies, or applicable law.
      • Suspend or terminate User accounts for repeated or serious violations.
      • Report illegal activities to appropriate law enforcement authorities and cooperate fully with investigations.
      • Share User information with governmental authorities when required by law or to protect the Platform, other Users, or public safety.
   5. MONITORING AND COOPERATION

      Users acknowledge that the Company may monitor Platform usage for compliance, quality control, and security purposes. Users agree to cooperate fully with any investigations or requests for information related to potential violations of these Terms or applicable laws.

      If the user wants to reports to any violations regarding any content/listings etc. they must inform Company in writing by sending an email to support@aajjo.com.

6. AMENDMENTS/MODIFICATION OF TERMS OF USE

   We reserve the sole right to modify these Terms of Service at any time without your prior permission or advance notice beyond posting the updated version on our Platform, where you are contractually obligated to review them weekly as a registered user. Changes take effect immediately upon online publication, and your continued use of the Platform, including accessing leads, listings, or any services, automatically constitutes your full acceptance of the new Terms under Indian Contract Act principles, with no further consent required. You have two options only: immediately stop all Platform usage and close your account, or comply with the updated rules. Ignorance of changes provides no defense in Delhi courts, where we enforce strict compliance through mandatory arbitration.

7. Electronic Communications
   1. The User hereby consents to receive communications from the Company electronically. The Company may communicate with the User by email or by posting notices on the Site. The User hereby agrees that all notices, agreements, demands, disclosures and other communications that the Company sends electronically including by posting on Site, satisfy the legal requirement that such communication is in writing.
   2. User hereby allows Company to contact them periodically using means like telephone, mailers or any other means, direct or indirect, in regard to their account information, special offers, surveys etc. If a User does not wish to receive calls/other communications from Company or its employees, they must inform Company in writing by sending an email to support@aajjo.com.
   3. All calls made to user by the company are periodically recorded for quality purposes and internal training only. All updates done by user to their data, by visiting the site or through verification mailers are recorded for future use.
8. CONFIDENTIALITY

   All information you submit or host on our Platform including buyer leads, seller pricing, contact details, product specifications, business contracts, transaction records, company financials, and trade secrets remains your exclusive property but automatically grants the Platform a perpetual, worldwide, royalty-free license to use, store, process, and display this data solely for operating the marketplace, improving services, generating anonymized analytics, and complying with Indian laws.

9. NO REFUND DECLARATION

   All payments for memberships, premium listings, lead generation, inquiries, or platform services are final and non-refundable under any circumstances. No refunds will be issued for reasons including fewer leads than expected, service dissatisfaction, market conditions, or voluntary cancellation. Users acknowledge this policy at signup/purchase, ensuring transparency as required by e-commerce rules. No liability for lead volume or business outcomes

10. INTELLECTUAL PROPERTY RIGHTS

    The platform retains full ownership of all intellectual property rights in its trademarks, logos, software, content, and databases. Users receive a limited, non-exclusive, non-transferable license to access the platform solely for business purposes.

    By uploading listings, images, or data, users grant the platform a perpetual, royalty-free, worldwide license to host, display, and promote such content. Users warrant they own or have rights to all submitted IP and indemnify the platform against third-party claims. Users must not infringe third-party IP, post counterfeit goods, or misuse trademarks (e.g., unauthorized keywords). Violations lead to content removal, account suspension, or legal action under Trade Marks Act Section 29.

11. LIMITATION OF LIABILITY
    1. In no event shall the Company be liable for:
       • Any indirect, incidental, special, consequential or punitive damages , including but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses (even if the corporate has been advised of the likelihood of such damages) arising out of or in reference to the location , its Services or this Agreement (however arising, including negligence); and/or
       • Any delay or failure or disruption of the content or services delivered through the location resulting directly or indirectly from acts of nature, forces or causes beyond our reasonable control, including without limitation, internet failures, computer telecommunications or the other equipment failures, electric power failures, strike, labour disputes, riots, insurrections, civil disturbances, shortage of labour or materials, fires, flood, storms, explosions, acts of God, war, governmental actions, order of domestic or foreign courts or tribunals or non-performance of third parties or other act of God’s condition.
    2. The Company, its associates and technology partners make no representations or warranties about the accuracy, reliability, completeness, and/or timeliness of any content, information, software, text, graphics, links or communications provided on or through the utilization of the location or that the operation of the location are going to be error free and/or uninterrupted. All such warranties, representations, conditions and undertakings are hereby excluded
    3. User(s) acknowledge that inability to use the website wholly or partially for whatever reasons may have a contrary effect on its business. The Company assumes no liability whatsoever for any monetary or other damage suffered by the User including on account of any one or more of the following:
       • The delay, failure, interruption, or corruption of any data or other information transmitted in connection with the use of the Site or the Services;
       • The inability to use the Site or the Services;
       • Any interruption or errors within the operation of the Site or the Services;
       • Any unauthorized access by third parties (or User’s) to data or sensitive Personal Data or Information or other private information of a User;
       • Any false, misleading or incorrect data or information hosted on Site by a User or false misleading or incorrect statements or conduct of a User;
       • Any violation of third party rights or demands whatsoever in relation to the products or Services hosted on the Site;
       • Any matters relating to Services and the Site however arising, including negligence.
    4. Notwithstanding anything contained herein, the Company's liability in any and all circumstances shall be limited to the lesser of the amount of fees and/or charges paid by the User or Rs. 10,000/- (Indian Rupees Ten Thousand) or the USD equivalent thereof.
12. JURISDICTION CLAUSE

    This Agreement shall be governed by and construed in accordance with the laws of India. Subject to the arbitration provisions contained herein, the courts of Delhi, India, shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms and Conditions, including any question regarding their existence, validity, or termination.
